Job Summary & Responsibilities

The Legal Department seeks a Senior Attorney to support the firm's Mortgage and Structured Products businesses. These are multi-strategy businesses that purchase, trade in, make markets, advise on, and/or securitize large positions in commercial and residential mortgages and mortgage-related securities, consumer and Fintech loans, CLO, ABS, mortgage-related derivatives and loan products. The businesses may act as advisor, financier and/or principal counterparty to clients. The businesses may also seek to originate, acquire, sell and/or service commercial and residential mortgages and consumer and auto loans and may provide warehouse loans to mortgage and other asset originators.

Principal Responsibilities are to work with Mortgage, Consumer and Structured Products coverage teams to:

  • Advise on all aspects of transactions.
  • Identify and address business, legal and reputational risk.
  • Analysis and implementation of financial regulatory reform (Dodd Frank, etc.)
  • Supervise outside counsel.
  • Help create new firm policies, procedures and guidelines as required.
  • Assist on regulatory and litigation matters relating to mortgages and structured products.
  • Coordinate with other legal, conflicts and compliance groups within the firm to ensure consistency of coverage and to coordinate firm policies.

Experience / Skills:
  • 9+ years sophisticated, relevant experience post JD
  • Strong substantive knowledge gained from a broad-based practice at a top firm or in-house legal department
  • Solid experience in capital markets, asset acquisition, CMBS, RMBS, CLO, consumer loans, and other asset-backed and lending transactions. Experience representing underwriters, issuers, managers in a wide range of CMBS, RMBS, CLO, consumer loans and other asset-backed financings, consisting of registered public offerings, exempt transactions and international and domestic offerings.
  • Experience working with mortgage and other asset servicing and origination businesses
  • High level of initiative, integrity and organization.
  • Familiarity with broker-dealer regulation, Dodd Frank, Reg AB, CFPB, state and federal regulators, lending, bankruptcy, and with various fixed income and derivative products and asset classes (RMBS, CMBS, CLO, consumer loans, CDS, ABS, TRS, etc.).
  • Motivation to expand skill set and excel in a challenging and rewarding business environment.
