The Assistant Corporate Secretary, classified as a Legal Support Lead Officer, is a senior level, non-attorney role within the Citi Legal team responsible for providing full range of corporate governance and administration support to assigned Citi subsidiaries and their respective Boards and senior management to ensure compliance with relevant statutory and regulatory requirements as well as internal policies and procedures. This role requires a pragmatic, proactive professional with thorough understanding of the governance advisory services provided by the Corporate Secretariat within the Citi Legal Team.
Responsibilities:
- Responsible for corporate governance and secretarial support activities related to Citi subsidiaries.
- Manages the execution, review, processing, regulatory submission and tracking of legal entity documentation and records and completes varied work requests from multiple sources that may be complex in character and have tight deadlines.
- Participates in legal entity projects and liaises with other control/functional businesses in support of entity / business initiatives.
- Interacts with senior leaders (including in particular subsidiary boards and individual directors, business and country management), internal and external peers to gather information and works closely with the team's management as well as other risk & support functions to determine appropriate solutions to achieve the desired results for entity / Board governance matters.
- Continuously stays informed of regulatory changes, new regulations, internal policy changes and developments in the law relating to entity and Board governance.
- Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency.
Qualifications:
- 10 years of relevant industry experience, preferably with some experience working in an in-house corporate secretarial role within financial services
- Ability to manage complex documentation with organization and detail
- Must possess excellent interpersonal and project management skills, as well as the ability to interact and communicate effectively with Senior management
- Proficient in Microsoft Office: Word, PowerPoint, Excel, Outlook
- In-depth knowledge of legal customs and practices
- Knowledge and understanding of the financial services industry
Education:
- Bachelors/University degree, Master's degree preferred. Chartered Secretary / Member of Hong Kong Institute of Corporate Governance.
