JOB FAMILY DESCRIPTION

Responsible for drafting and negotiating contracts, interpreting contractual obligations on the company, and administering legal operation software in accordance with company policies and legal requirements.

GENERAL DUTIES & RESPONSIBILITIES

  • Coordinates the intake of legal contract requests for the division.
  • Coordinates the intake, drafting, and negotiating of nondisclosure agreements for clients, third parties, and fourth parties.
  • Conducts pre-contract data collection and administration of commercial contracts.
  • Creates, negotiates and/or administers contractual documents that establish business relationships with vendors, clients and/or partners.
  • Works with sales, service and business operations teams to structure contracts.
  • Reviews contractual documents to ensure adherence to company practice and conformance to master agreements.
  • Responds to inquiries regarding contract obligations and revisions.
  • Initiates documentation to authorize work in accordance with contractual specifications.
  • May do some contract negotiations.
  • Other related duties assigned as needed

EDUCATIONAL GUIDELINES

Bachelor's degree in Business Administration or other related discipline is required; or equivalent combination of education, training, and work experience.

GENERAL KNOWLEDGE, SKILLS & ABILITIES

  • Ability to prepare and negotiate legal contracts and proposals
  • Prior work experience providing professional legal support (i.e. Paralegal) in the area of commercial contracts preferred
  • Ability to interact effectively with executive level clients
  • Knowledge of Microsoft Office and legal operations software applications (experience with contract lifecycle management and/or matter management tools preferred)
  • Excellent verbal and written communication skills
  • Effective time management and problem-solving skills
  • Ability to maintain confidentiality and carry out assignments that are sensitive in nature
  • Ability to utilize judgment in decision making process and decisions related to job tasks
  • Strong organizational skills and ability to handle multiple tasks and meet deadlines
  • Exceptional interpersonal skills: establishing personal and professional relationships among diverse internal and external publics
  • Flexibility, versatility, dependability
  • Requires the ability to establish and maintain effective working relationships with all levels of management (internally as well as externally).

Contract Manager

Intermediate professional role. Moderate skills with high level of proficiency. Works on moderately complex assignments that require broad contract administration skills. Works on projects as a team member or occasionally as a project lead. Works under general supervision with latitude for independent judgment. May consult with senior peers on complex projects or issues. Typically requires four (4) or more years of work experience creating, negotiating and administering moderately complex commercial contracts.
