Cantor Fitzgerald: Corporate Paralegal M&A
Experienced Senior Corporate Paralegal -- Public Company Reporting Experience Required A position has become available for an Experienced Corporate Paralegal with Cantor Fitzgerald. This diverse position reports to our Assistant General Counsel and will be responsible for working closely with legal staff in connection with our real estate capital markets business. Superior organizational skills and follow through are needed for this position, as well as willingness to take on special projects.

Responsibilities
- Preparation of and assistance with preparation of public filings (including registration statements and periodic reports) with the SEC
Support for acquisitions and sales of businesses and other corporate transactions for all of the Cantor companies. Including Cantor Fitzgerald, Newmark, BGC, and other ventures.
- Communicating with officers and directors both verbally and in writing on a variety of matters; maintaining public company minute books
Preparation of various reports, that will be distributed among regulators and general counsel
Maintaining date, and room review/population
- Conducting due diligence, and p reparing responses in connection with third party due diligence requests
- Communicating with state securities regulators
- Position will also include some corporate paralegal responsibilities including:
o Non-disclosure agreements
o Assisting with forming new legal entities
o Drafting minutes and maintaining minute books
o Maintaining corporate records including corporate officers and organizational charts
o Real estate transactions, including the acquisition and disposition of real estate assets
o Some development and maintenance of our legal file system including scanning documents into document retention system

Candidate will have a strong work ethic and professional demeanor as well as be flexible and be a self-starter with the ability to develop the position and offer to assist without significant direction. Follow up and communication skills are critical. Candidate should be able to listen and act on detailed instructions and be organized and demonstrate good judgment and ability to maintain confidentiality. Position requires a good attitude and ability to remain focused and flexible as well as the ability to work well and coordinate with the entire legal staff as well as outside directors and senior corporate executives.

Successful candidates should have Paralegal Certification and/or Bachelor's degree; strong communication skills and computer proficiency (MS Word and Excel). Previous in-house corporate experience and/or real estate industry experience is preferred and experience with SEC filings is required.
