Senior Associate
Linklaters LLP seeks Senior Associate Mergers & Acquisitions in New York, NY to lead on a wide range of public and private M&A matters, including stock and asset purchases and sales, public company mergers and tender offers, joint ventures and strategic partnerships, corporate restructurings and carve-outs, and minority investments and consortium deals. Draft, review and negotiate core transaction documentation, including stock purchase agreements / asset purchase agreements, merger agreements, investment and shareholders'/stockholders' agreements, joint venture agreements, and ancillary documents (disclosure schedules, officer's certificates, closing deliverables, transition services agreements). Manage legal due diligence processes, including scoping and structuring due diligence reviews, coordinating multi-jurisdictional due diligence teams, identifying key legal risks and issues and framing clear, commercial recommendations for clients. Oversee conditions to closing and completion processes, including coordination of regulatory filings, execution mechanics and signing / closing logistics (including electronic and hybrid closings). Act as day-to-day contact for key clients on transactions, providing timely, commercially-focused advice . Build and maintain strong, long-term relationships with clients, including corporates, financial institutions and private equity sponsors. Develop an in-depth understanding of client businesses, sectors and risk appetite, and tailor advice to their strategic objectives. Contribute to fee proposals, matter scoping and budgeting, and assist with matter management and financial control. Supervise, train and mentor junior associates and paralegals, including delegating work appropriately and providing constructive feedback, reviewing and quality-controlling drafting and research, and helping to develop technical skills and commercial judgement. Work collaboratively across practice groups (for example, finance, tax, antitrust, employment, intellectual property, regulatory) and across offices on multi-disciplinary, cross-border matters. Help to embed best practice in transaction management, knowledge sharing and use of legal technology. Support partners with business development activities, including preparing client pitches and capability statements, contributing to client seminars, workshops and training, developing thought leadership materials (e.g. client alerts, articles, briefings) on key M&A trends and legal developments. Help identify new opportunities with existing and prospective clients and contribute to the development of strategic sector and client plans. Ensure all work complies with applicable US federal and state law, New York professional conduct rules and other relevant regulatory requirements . Manage legal and commercial risk appropriately and escalate issues where necessary. Adhere to internal policies and procedures, including matter opening, conflicts, confidentiality, information security and billing requirements.

REQUIREMENTS: J.D. or foreign equivalent or related and four (4) years of experience in the job offered or related occupation: negotiating and drafting legal documents for corporate transactions, including merger agreements, stock purchase agreements, joint venture agreements, legal documents related to restructurings and spinoffs, and other legal documents; drafting and preparing legal documents for various corporate governance matters, including board and stockholder resolutions and entity formation/incorporation documentation; representing and advising domestic and international clients on a range of cross-border corporate transactions and matters, including entity formation, joint ventures, private asset or equity acquisitions, public M&A transactions, and spinoffs and reorganizations; coordinating due diligence workstreams and lead closings of M&A transactions; advising private and publicly-listed clients on legal housekeeping and corporate governance matters and day-to-day contracting matters; advising on U.S. federal securities laws issues in complex M&A and private equity transactions, preparing related securities filings where applicable, and advising to clients on-going SEC reporting considerations. Must be admitted to the practice of law in New York. Telecommuting and/or working from home may be permissible pursuant to company policies. When not telecommuting, must report to work site.

The base salary range offered for this role will be between $365,000 and $435,000, 40 hours per week and represents the firm's good faith and reasonable estimate of the range of possible compensation at the time of posting. Actual compensation will be dependent upon a number of factors including, but not limited to, the candidate's relevant experience, performance, qualifications, as well as the needs of the firm. The total compensation package for this position may include discretionary bonuses and other benefits.
